Terms of Service

These Terms of Service govern your access to and use of the Entellra software, hardware interfaces, and Ayra AI services operated by Corpela Inc. (corpela.com), Islamabad, Pakistan.

1. Agreement & Subscription Authorization

By creating an account, pairing POS hardware, or utilizing any Entellra software module, you ("Subscriber" or "Operator") enter into a legally binding agreement with Corpela Inc., a corporate entity registered and headquartered in Islamabad, Pakistan. If acting on behalf of an enterprise, franchise, or corporate entity, Subscriber warrants full authority to execute these terms.

2. "AS IS" & "AS AVAILABLE" Disclaimer of Warranties

IMPORTANT LEGAL NOTICE: THE ENTELLRA PLATFORM, HARDWARE INTERFACES, TILL SOFTWARE, AND AYRA AI MODULES ARE PROVIDED STRICTLY "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED SERVICE.

3. Absolute Limitation of Liability & Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORPELA INC., ITS FOUNDER AHMED FARAZ KHAN, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF RESTAURANT REVENUE, PROFIT, OR GUEST BILLING RECEIPTS;
  • FOOD SPOILAGE, INVENTORY LOSS, OR RECIPE WASTE;
  • INTERNET Outages, POWER LOSS, OR HARDWARE MALFUNCTION AT OPERATOR OUTLETS;
  • THIRD-PARTY PAYMENT PROCESSOR CHARGEBACKS OR DISPUTES;
  • ANY MISCOMMUNICATION OR BOOKING MISSTATEMENT BY AYRA AI AGENT.

IN ALL CIRCUMSTANCES, THE MAXIMUM AGGREGATE LIABILITY OF CORPELA INC. ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY SUBSCRIBER TO CORPELA INC. IN THE ONE (1) MONTH PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS LESS.

4. AI Agent "Ayra" Disclaimer & Operator Responsibility

Subscriber acknowledges that the Ayra AI Agent operates as an automated digital assistant. Corpela Inc. explicitly disclaims all liability for any errors, price misquotes, dietary/allergen misrepresentations, or reservation scheduling conflicts caused by AI automated responses. Subscriber retains sole responsibility for verifying menu pricing, allergen warnings, and guest reservation bookings.

5. Full Operator Indemnification

Subscriber agrees to defend, indemnify, and hold harmless Corpela Inc., Ahmed Faraz Khan, and all corporate officers from and against any third-party claims, liabilities, lawsuits, damages, losses, or legal fees (including attorney costs) arising out of or related to Subscriber’s restaurant operations, guest disputes, food safety compliance, or breach of these Terms.

6. Third-Party Payment Processors & Aggregators

Corpela Inc. is a software provider and is NOT a bank, payment processor, or delivery aggregator. All card processing is conducted by certified third-party merchant processors (e.g. Stripe, local merchant banks). Corpela Inc. is not responsible for payment gateway delays, chargeback penalties, or delivery fleet disruptions (UberEats, DoorDash).

7. Mandatory Binding Arbitration & Class Action Waiver

Any dispute or claim arising out of or relating to this agreement shall be settled through confidential binding arbitration held in Islamabad, Pakistan. Subscriber agrees to resolve all disputes on an individual basis and expressly waives any right to initiate or participate in class-action lawsuits or class arbitration proceedings.

8. Governing Law & Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without giving effect to conflicts of law principles.
